This agreement embodies the entire agreement and understanding of the parties hereto with respect to the subject matter hereof, and supersedes all prior and contemporaneous letters, agreements, and understandings concerning the Equipment. This agree-ment may not be amended without the prior written consent of Stopol. Upon Stopol’s receipt at its offices in Solon, Ohio this agreement shall become a binding contract between the parties. This agreement shall be interpreted and enforced in accordance with the laws of the state of Ohio, without regard to the choice or conflict of law rules otherwise applicable. The parties agree that any legal action concerning, relating to, or involving this agreement or the Equipment must be venued in Cuyahoga County, Ohio and the parties hereby consent to and submit to the personal jurisdiction and the exclusive subject matter jurisdiction of the courts of such County. Owner agrees to indemnify, defend and hold harmless Stopol, its officers, directors, employees, successors and assigns, from and against any and all losses, costs, damages and expenses arising directly or indirectly from Owner’s breach of any representation, warranty and/or covenant set forth herein. Owner acknowledges and agrees that Stopol shall not be liable to Owner for consequential, incidental, direct or indirect damages under any circumstances, regardless of cause and regardless of the theory of liability asserted by Owner, whether contract, tort, or otherwise.
